Terms of Service

These Terms of Service are a legally binding agreement between you and Phixy ("Phixy," "we," "us," or "our"). They govern your access to and use of Phixy’s website, web application, browser extension, integrations, artificial-intelligence features, professional networking tools, and related services that link to these Terms (collectively, the "Services").

By creating an account, installing the browser extension, connecting an integration, accepting these Terms, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. About Phixy

Phixy provides technology designed to help users manage professional networking and outreach. Depending on the features available, Phixy may help you identify relevant contacts, compare professional backgrounds, find or verify professional contact information, generate and edit outreach drafts, organize contacts, track outreach and replies, and receive follow-up suggestions.

Phixy is a technology service, not a recruiter, employment agency, career adviser, educational institution, law firm, or representative of any employer, university, contact, or organization. Phixy does not guarantee replies, meetings, referrals, interviews, introductions, employment offers, or other professional outcomes.

2. Eligibility

You must be at least 16 years old to use the Services. If you are not legally an adult where you live, you may use them only with the permission and supervision of a parent or legal guardian who agrees to these Terms for you.

You may not use the Services if you are legally prohibited, cannot enter a binding agreement, were previously terminated for violating these Terms, or your use would violate law.

If you use the Services for an organization, you represent that you have authority to bind it to these Terms.

3. Accounts

You agree to provide accurate, current, and complete account information and keep it updated. You are responsible for protecting your credentials, devices, and account and for all activity conducted through your account.

You may not share an individual account, impersonate another person or organization, use false information, create accounts through unauthorized automated methods, sell or transfer your account, or attempt to regain access after suspension without permission.

Notify support@phixy.ai promptly if you suspect unauthorized access.

4. Your Right to Use Phixy

Subject to these Terms, Phixy grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to use the Services for lawful professional networking and outreach.

Unless Phixy agrees in writing, you may not resell or commercially exploit the Services; operate one account for unrelated users; copy, modify, reverse engineer, or create derivative works, except where prohibited by law; use unauthorized automation; bypass technical, security, account, or usage restrictions; or use Phixy’s Services, data, or output to build or train a competing product.

We may impose limits on searches, contacts, drafts, storage, integrations, outreach, or other features by plan, account, platform, or feature.

5. Changes to the Services

Phixy is an evolving product. We may add, modify, limit, suspend, or discontinue features, integrations, supported platforms, plans, prices, permissions, data sources, AI providers, or usage limits.

We do not guarantee that any feature or integration will remain available. Where reasonably practicable, we will provide notice before materially discontinuing a paid core feature. We may make immediate changes for security, legal compliance, fraud prevention, third-party platform compliance, or technical stability.

6. Professional and Contact Information

The Services may process professional and contact information from materials you provide, pages you choose to analyze, public or lawfully available sources, licensed providers, and supported third-party services. This may include names, employers, job titles, education, experience, profile links, activities, interests, locations, and professional contact information.

When you ask Phixy to analyze a profile, find or save contact information, identify connection points, or generate outreach, you instruct Phixy to process the relevant information.

You must use this information only for lawful, contextually appropriate professional purposes, verify important details, respect requests not to be contacted, and follow applicable privacy, communications, and platform rules. Information may be inaccurate, outdated, duplicated, undeliverable, or linked to the wrong person, and Phixy does not guarantee its accuracy.

You may not use it for consumer reports or regulated eligibility decisions; to infer sensitive characteristics or discriminate; to create a data-brokerage product or competing contact database; to publish personal contact information without authorization; for fraud, doxxing, stalking, surveillance, harassment, or unlawful activity; or for mass unsolicited outreach or large-scale harvesting.

7. User Content

"User Content" means information or material you upload, enter, connect, create, save, submit, or transmit through the Services, including resumes, profile information, prompts, contacts, notes, drafts, outreach records, connected communications, feedback, and support messages.

You retain ownership of your User Content. You grant Phixy a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, modify, format, and use it as reasonably necessary to operate the Services, perform requested actions, maintain accounts and integrations, provide support and security, prevent misuse, comply with law, and improve the Services using aggregated, de-identified, or otherwise lawfully processed information.

This license ends when the information is deleted from active systems, subject to reasonable backup, security, fraud-prevention, and legal-retention periods.

You represent that you may provide your User Content and that it and Phixy’s permitted use do not violate law, another person’s rights, or your obligations. Do not upload malware or unnecessary sensitive information such as passwords, financial credentials, government identification numbers, or medical records.

8. Artificial-Intelligence Features

Phixy uses artificial intelligence and automated systems for profile summaries, shared-signal identification, match scores, rankings, recommendations, drafts, edits, and follow-up suggestions.

AI output may be inaccurate, incomplete, outdated, misleading, biased, or inappropriate. You must review and verify it before sending, publishing, using, or relying on it and must not present speculation as verified fact.

You are responsible for deciding whom to contact, whether contact is appropriate and lawful, verifying claims, editing and approving drafts, choosing when to follow up, and every communication sent through or in connection with your account.

Scores, rankings, response probabilities, and similar recommendations are estimates, not guarantees of relevance, recipient interest, replies, referrals, interviews, employment, or other outcomes.

Subject to applicable law and third-party rights, Phixy does not claim ownership of text generated specifically for you. Output may be similar to output generated for others and is not guaranteed to be unique, accurate, protectable, or free from third-party claims.

9. Professional Outreach

Phixy helps you prepare, organize, and track professional communications. You remain the sender and decision-maker. Unless clearly presented and affirmatively enabled, Phixy will not automatically send communications for you.

Each communication must be lawful, contextually appropriate, truthful, and compliant with applicable privacy, email, marketing, communications, intellectual-property, provider, and platform rules. You must honor requests to stop, unsubscribe, object, or delete information where applicable.

You may not use Phixy for spam, indiscriminate bulk outreach, deceptive or abusive messages, falsifying a message’s origin, repeatedly contacting someone who asked you to stop, evading provider restrictions, rotating identities to avoid limits, or facilitating phishing, fraud, credential theft, or impersonation.

Phixy does not provide legal advice about any communication.

10. Email Integrations and Browser Extension

Email integrations

You may connect an email account from Google, Microsoft, or another provider. By doing so, you authorize Phixy to access and process information within the permissions shown during authorization. Depending on enabled features, Phixy may create or edit drafts, identify senders and recipients, record messages, identify replies, suggest follow-ups, and maintain outreach history.

You must review permissions and be authorized to connect the account. Disconnecting an integration may stop related features and may not delete information already saved to Phixy. Do not connect an account you do not own or control or in violation of an employer, university, provider, or other policy.

Fallback email recording

If a direct integration is unavailable, Phixy may offer an optional extension feature that adds a designated Phixy address as a BCC recipient to eligible outreach emails. If enabled, the message may be transmitted to Phixy, including addresses, subject, content, timestamps, delivery information, and attachments.

Do not use this for confidential, privileged, restricted, or highly sensitive communications or where copying Phixy would violate a law, policy, agreement, or duty. You may disable it through available controls or by uninstalling the extension.

Browser extension

Depending on its permissions, the extension may authenticate you, display Phixy features, read professional information on a page you choose to analyze, transmit relevant information to Phixy, display contact insights, create drafts, save contacts and outreach records, work with supported email services, and store limited settings.

You authorize functions disclosed through the store listing, permission prompts, notices, and interface. You may not misuse the extension, bypass security or access controls, automate actions outside its intended functionality, or extract data to build another product.

The extension or an integration may stop working if a third party changes its technology, policies, permissions, interfaces, or access controls.

11. Third-Party Services

Phixy may operate alongside or integrate with services provided by LinkedIn, Google, Microsoft, payment processors, AI providers, contact-data providers, and others.

Phixy is independent and is not affiliated with, endorsed by, sponsored by, or officially connected to any third party unless expressly stated. Your use of third-party services is governed by your agreement with those providers.

Third parties may change or discontinue services, modify permissions, restrict accounts, remove integrations, or take other actions outside Phixy’s control. Phixy is not responsible for third-party services, data, security, availability, terms, or actions affecting your third-party account.

12. Acceptable Use

You may use the Services only for lawful professional networking and outreach. You may not:

• violate law, contracts, court orders, or another person’s rights;
• unlawfully collect, publish, or distribute personal information;
• harass, threaten, stalk, exploit, discriminate, impersonate, or facilitate fraud, phishing, identity theft, doxxing, or surveillance;
• fabricate qualifications, affiliations, relationships, or shared experiences;
• conduct mass, deceptive, indiscriminate, or irrelevant outreach;
• use compromised, forged, purchased, or unauthorized accounts;
• bypass authentication, security, rate limits, provider limits, or access controls;
• probe for vulnerabilities, upload malware, or interfere with the Services;
• access another person’s account or non-public information without permission;
• obtain source code, private systems, prompts, models, or credentials;
• scrape or compile information in bulk;
• copy Phixy’s interfaces, workflows, data structures, scoring systems, or designs;
• publicly benchmark, resell, or redistribute the Services without permission; or
• falsely suggest an affiliation with Phixy.

We may investigate suspected violations and limit features, remove content, suspend or terminate accounts, preserve information, or report unlawful conduct where appropriate.

13. Beta and Early Access

Some Services may be offered as a private beta, preview, pilot, experimental feature, or early-access release. Beta Services may be incomplete, contain errors, change without notice, experience interruptions or data loss, offer limited support, or be discontinued at any time.

Use Beta Services at your own risk. Do not rely on them for critical, confidential, privileged, time-sensitive, or legally significant communications. Private-beta access is personal and revocable and may not be sold, transferred, or shared without permission.

We may request voluntary feedback or testing observations from beta users.

14. Fees and Subscriptions

Services may be free, available during beta, or offered through paid plans. Pricing, billing periods, features, limits, renewal terms, and taxes will be disclosed before purchase.

By purchasing, you authorize Phixy and its payment processor to charge your selected payment method. Automatic renewal will be disclosed before purchase, and unless you cancel before renewal, you authorize the renewal charge.

You may cancel through account controls or support@phixy.ai. Unless stated otherwise, cancellation takes effect at the end of the current billing period.

We may change prices or introduce charges. Changes to recurring subscriptions will apply no earlier than a future renewal after reasonable notice, unless law permits otherwise.

Except where required by law or stated at purchase, payments are non-refundable and no credits are provided for partial periods. Mandatory consumer rights remain unaffected.

15. Privacy and Security

Our Privacy Policy explains how Phixy handles personal information and is incorporated into these Terms. If the documents conflict about personal-information processing, the Privacy Policy controls. Privacy requests may be sent to privacy@phixy.ai.

Phixy uses reasonable safeguards, but no online service, extension, integration, transmission method, or storage system is completely secure. You are responsible for protecting devices and credentials, reviewing connected applications, installing updates, maintaining appropriate backups, and reporting suspected unauthorized activity.

Do not test Phixy’s security without written authorization. Report suspected vulnerabilities privately to support@phixy.ai.

16. Intellectual Property and Feedback

Phixy and its licensors own the Services and related software, extension technology, databases, interfaces, workflows, designs, algorithms, scoring methods, AI configurations, documentation, branding, and intellectual property. These Terms transfer no ownership to you. "Phixy," its logo, and related branding may not be used without permission.

If you provide suggestions, bug reports, feature requests, or other feedback, you grant Phixy a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and commercialize it without compensation or attribution. This does not transfer ownership of your resumes, private emails, contact records, or other User Content.

Send intellectual-property complaints to support@phixy.ai with information identifying the protected work and allegedly infringing material.

17. Suspension and Termination

You may stop using the Services at any time and request account closure through available controls or support@phixy.ai. Closing an account does not cancel outstanding payments or create a refund right.

We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms; created legal, security, fraud, spam, harassment, or abuse risks; failed to pay; violated third-party platform rules in connection with Phixy; must be restricted by law or an authorized third party; maintaining access is no longer feasible; or the account has been inactive for an extended period.

We may give notice and an opportunity to correct the issue where appropriate, but may act immediately to prevent harm, protect the Services, comply with law, or address serious misconduct.

When access ends, your right to use the Services ends, integrations may be disconnected, stored content may become unavailable, unpaid amounts remain due, and surviving provisions remain effective. Information may be retained or deleted under the Privacy Policy.

18. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Phixy disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, compatibility, security, and uninterrupted or error-free operation.

Phixy does not guarantee that the Services will meet your requirements or remain available; that information, contact details, or AI output will be accurate, current, verified, deliverable, appropriate, or unique; that integrations will continue; that third-party platforms will permit functionality or leave your account unrestricted; that recipients will respond; that scores will predict outcomes; or that using Phixy will result in meetings, referrals, interviews, offers, or employment.

You assume the risks arising from your communications, outreach decisions, generated content, recommendations, and third-party interactions. These exclusions apply only to the maximum extent permitted by law.

19. Limitation of Liability

To the fullest extent permitted by law, Phixy and its affiliates, licensors, service providers, officers, employees, agents, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or economic damages, including lost profits, revenue, opportunities, employment prospects, goodwill, reputation, data, contacts, communications, use, or anticipated savings.

Phixy is not liable for AI inaccuracies; communications sent or approved by you; recipient reactions; missed replies or follow-ups; inaccurate information; third-party services, integrations, actions, or account restrictions; unauthorized access caused by your failure to secure your account; interruptions, data loss, Beta Service changes; or professional, academic, recruiting, or employment decisions.

Phixy’s total aggregate liability arising from the Services or these Terms will not exceed the greater of the amount you paid Phixy during the 12 months before the claim or USD $100.

These limitations apply regardless of legal theory and to the maximum extent permitted by law.

20. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Phixy and its affiliates, licensors, service providers, officers, directors, employees, agents, and representatives from claims, liabilities, damages, losses, costs, and reasonable legal fees arising from your use or misuse of the Services, User Content, communications, interactions with others, violation of these Terms or law, violation of another person’s rights or third-party platform terms, use of professional or contact information, or misrepresentation of your identity, qualifications, affiliations, or relationships.

Phixy may control the defense of an indemnified claim. You agree to cooperate and may not settle in a way that imposes liability or obligations on Phixy without written consent. This section does not apply where prohibited by law.

21. Disputes and Governing Law

Before formal proceedings, you and Phixy agree to attempt in good faith to resolve disputes informally. Written notice should describe the account, relevant facts, requested resolution, and information reasonably needed to evaluate the matter. Send notices to support@phixy.ai.

The parties will have 30 days after receiving a sufficiently complete notice to attempt resolution. Either party may seek urgent relief to prevent immediate and irreparable harm.

Subject to mandatory rights where you live, these Terms are governed by the laws applicable to Phixy’s provision of the Services and your use of them, without regard to conflict-of-law principles. Unresolved disputes may be brought before a court of competent jurisdiction.

Nothing limits mandatory consumer rights, remedies, or forum protections.

22. Changes to These Terms

We may update these Terms to reflect changes to the Services, law, security requirements, third-party platform requirements, or business practices. The "Last updated" date identifies the most recent revision.

If changes are material, we may provide notice through the Services, by email, or through another reasonable method. Unless otherwise stated, updated Terms become effective when posted. Where additional notice or consent is legally required, we will provide it.

Your continued use after updated Terms take effect constitutes acceptance. If you do not agree, stop using the Services.

23. General Terms

Electronic communications

You consent to receive agreements, notices, invoices, security alerts, and service communications electronically. Opting out of marketing messages does not stop transactional, billing, security, account, or service messages.

Entire agreement

These Terms, the Privacy Policy, plan terms, purchase disclosures, and expressly agreed additional terms constitute the entire agreement regarding the Services.

Assignment

You may not assign these Terms without Phixy’s written consent. Phixy may assign them in connection with a merger, acquisition, financing, reorganization, asset sale, transfer of the Services, or similar transaction.

No agency

These Terms do not create an employment, partnership, franchise, agency, fiduciary, or joint-venture relationship.

Severability and waiver

If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest remains effective. Failure to enforce a provision is not a waiver.

Force majeure

Phixy is not responsible for delay or failure caused by circumstances beyond its reasonable control, including outages, disasters, cyberattacks, government actions, labor disputes, war, civil unrest, epidemics, cloud-provider failures, or third-party platform disruptions.

Export controls

You may not use the Services in violation of export-control, sanctions, or trade laws.

Headings and language

Headings are for convenience only. If translated, the English version controls to the extent permitted by law unless stated otherwise.
